Terms of Service

1. Acceptance of Terms

By accessing or using NeighborLink ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

NeighborLink is a subscription-based neighborhood services marketplace that connects residents ("Neighbors") with local service providers ("Providers"). We facilitate connections through our platform but are not a party to the actual service transactions between Neighbors and Providers. Our platform operates on a subscription model for Providers with three tiers: Basic ($15/month), Premium ($35/month), and Professional ($60/month).

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

3.2 Account Security

You are responsible for safeguarding your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.

4. User Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of any laws
• Impersonate any person or entity or falsely represent your affiliation
• Interfere with or disrupt the Service or servers connected to the Service
• Attempt to gain unauthorized access to any portion of the Service
• Harass, abuse, or harm other users
• Post false, misleading, or fraudulent content
• Circumvent or manipulate our fee structure or billing process

5. Service Provider Requirements

If you are a Provider, you additionally agree to:

• Maintain all required licenses, permits, and insurance
• Provide services in a professional and workmanlike manner
• Honor your commitments and appointments
• Charge fair and transparent prices
• Complete identity verification through our partner Persona
• Submit to background checks for certain service categories (mandatory for Babysitting and Senior Care)
• Accept and comply with our Provider Service Agreement

Providers must also maintain an active subscription to list services on our platform.

6. Payments and Fees

6.1 Subscription Fees

Service Providers pay monthly subscription fees to access our platform:

• Basic: $15/month - Up to 5 service listings
• Premium: $35/month - Up to 15 listings with priority placement
• Professional: $60/month - Unlimited listings with top placement

NeighborLink does not charge commission on services performed. All service payments are handled directly between Neighbors and Providers.

6.2 Payment Processing

Payment processing is handled by third-party payment processors. By using our payment features, you agree to their terms and conditions.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

IN NO EVENT SHALL NEIGHBORLINK BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

9. Indemnification

You agree to indemnify and hold harmless NeighborLink and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

11. Modifications

We reserve the right to modify these Terms at any time. We will notify users of any material changes. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

12. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including breach of these Terms.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any legal action or proceeding relating to these Terms shall be brought exclusively in the courts of Montgomery County, Texas, and you consent to the jurisdiction of such courts.
