Provider Service Agreement

1. Agreement Overview

This Provider Service Agreement ("Agreement") is entered into between NeighborLink, Inc. ("NeighborLink," "we," "our," or "us") and you ("Provider," "you," or "your") when you register as a service provider on the NeighborLink platform. This Agreement governs your use of our platform to offer services to customers ("Neighbors").

2. Independent Contractor Relationship

You acknowledge and agree that:

• You are an independent contractor, not an employee of NeighborLink
• You retain the right to provide services to others, including competitors
• You are free to accept or decline any service requests
• You control the manner and means of performing your services
• You are responsible for your own taxes, insurance, and business expenses
• No employment, partnership, or agency relationship exists between us

3. Platform Subscription and Fees

3.1 Subscription Tiers

NeighborLink offers three subscription tiers for service providers:

• Basic ($15/month): Up to 5 service listings, standard visibility
• Premium ($35/month): Up to 15 service listings, priority placement, analytics dashboard
• Professional ($60/month): Unlimited listings, top placement, advanced analytics, marketing tools

Subscription fees are billed monthly in advance. You may upgrade, downgrade, or cancel your subscription at any time, with changes taking effect at the next billing cycle.

3.2 Payment Processing

All payments between you and Neighbors are handled directly. NeighborLink does not process customer payments or take a commission from your services. You are responsible for:

• Setting your own prices
• Collecting payment from Neighbors
• Handling refunds or disputes directly with Neighbors
• Complying with all tax obligations

4. Provider Requirements and Standards

4.1 General Requirements

As a Provider, you must:

• Be at least 18 years old
• Complete identity verification through our partner Persona
• Maintain accurate and up-to-date profile information
• Respond to inquiries within 24 hours during business days
• Honor all confirmed appointments
• Provide services in a professional and competent manner
• Maintain appropriate licenses and permits for your services
• Carry appropriate insurance for your business activities

4.2 Background Check Requirements

Certain service categories require background checks:

• Mandatory for Babysitting: Criminal history and sex offender registry check
• Mandatory for Senior Care: Criminal history, sex offender registry, and elder abuse registry check
• Recommended for: House Cleaning, Pet Care, Tutoring, and any service involving home access

Background check costs are your responsibility. Premium and Professional tier subscriptions include one complimentary background check per year.

5. Service Standards and Quality

You agree to maintain high service standards including:

• Arriving on time for scheduled appointments
• Providing accurate descriptions of your services and capabilities
• Using truthful and current photos in your listings
• Communicating professionally and respectfully
• Completing work to industry standards
• Respecting Neighbor property and privacy
• Maintaining a minimum 4.0 star rating (or face potential suspension)

6. Prohibited Activities

You may not:

• Misrepresent your qualifications, experience, or identity
• Discriminate based on race, gender, religion, or other protected characteristics
• Solicit Neighbors to work outside the NeighborLink platform
• Share Neighbor contact information with third parties
• Engage in any illegal activities
• Create multiple accounts to circumvent restrictions
• Use the platform for any purpose other than offering legitimate services
• Harass, threaten, or abuse Neighbors or other Providers

7. Reviews and Ratings

Neighbors may rate and review your services. You agree that:

• All reviews are the opinion of the Neighbor and NeighborLink is not responsible for their content
• You will not offer incentives for positive reviews
• You will not retaliate against Neighbors for negative reviews
• You may respond professionally to reviews through the platform
• NeighborLink may remove reviews that violate our content policies

8. Intellectual Property

You grant NeighborLink a non-exclusive, worldwide, royalty-free license to use, display, and distribute your profile content, service listings, and photos for the purpose of operating and promoting the platform. You retain ownership of your content.

9. Insurance and Liability

9.1 Your Insurance

You are strongly encouraged to maintain appropriate business insurance, including general liability coverage. For certain services, insurance may be required by law or regulation.

9.2 Liability and Indemnification

You are solely responsible for your services and any damages or injuries that may result. You agree to indemnify and hold harmless NeighborLink from any claims, damages, or expenses arising from your services, your breach of this Agreement, or your violation of any laws.

10. Termination

Either party may terminate this Agreement:

• By You: Cancel your subscription at any time through your account settings
• By NeighborLink: For violation of this Agreement or our Terms of Service
• Immediate Termination: For serious violations including fraud, illegal activity, or safety concerns

Upon termination, your profile and listings will be removed, and you must complete any pending services. Subscription fees are non-refundable.

11. Dispute Resolution

Any disputes between you and NeighborLink will be resolved through binding arbitration in accordance with the American Arbitration Association rules. The arbitration will take place in Montgomery County, Texas. Each party bears their own costs.

12. Governing Law

This Agreement is governed by the laws of the State of Texas, without regard to conflict of law principles.

13. Modifications

We may modify this Agreement at any time. We will notify you of material changes via email or through the platform. Your continued use of the platform after changes constitutes acceptance of the modified Agreement.
